Pursuant to Arizona Revised Statutes Section 10-2004(c), this is notice of the proposed
amendment and restatement of the Articles of Incorporation and of the Bylaws of the Arizona
Industrial Development Authority (the “Authority”). The proposed Amended and Restated Articles
of Incorporation in the form attached hereto as Exhibit A (the “Restated Articles”) and the proposed
Amended and Restated Bylaws in the form attached hereto as Exhibit B (the “Restated Bylaws”)
shall be considered by the Board of Directors of the Authority at its regular meeting to be held on
May 19, 2022, at 3:00 p.m. at 100 N. 7th Avenue, Suite 100, Phoenix, Arizona 85007 in the
Camelback Room.
